1. The service
Salesman Tracker provides field-sales CRM tools — lead management, GPS-verified visit logging, routes, product catalog, orders, quotations, payment tracking and commissions — on Android, iOS and web, as a subscription operated by Kedaya Tech LLP ("we", "us"). The workspace (the "tenant") belongs to the subscribing company; all user accounts inside it are created and controlled by the workspace owner. By creating an account you agree to these Terms; if you accept for a company you confirm you are authorised to bind it.
2. Accounts and seats
Billing is per active seat. The owner creates, resets and deactivates accounts; a new seat is charged pro-rata from creation and a deactivated seat stops billing at the next cycle. Credentials are personal and must not be shared. You are responsible for activity under your accounts and for keeping credentials secure.
3. Acceptable use
You must not use the service unlawfully; scrape, resell, sublicense or benchmark it; upload content you have no right to use; send unlawful or unsolicited messages; or attempt to breach security. Employee location tracking must comply with local employment and privacy law — obtaining any required employee consent is the tenant's responsibility.
4. Fees, currency, tax and renewal
Currency and price may vary by country; the price shown at checkout for your billing country applies. Taxes (GST, VAT, sales tax and the like) are applied per your country and added where required; you are responsible for any withholding or local taxes on your side. Subscriptions renew automatically and are charged through the payment gateway assigned to your country; you can cancel any time from Settings → Billing and we provide renewal reminders in line with applicable auto-renewal laws. Failed payments trigger a 7-day grace period, after which the workspace becomes read-only until payment succeeds. Prices may change with 30 days' notice; your current paid term is not repriced mid-cycle. Refunds are governed by the Refund Policy.
5. Data and privacy
Your tenant business data remains yours. We process it only to provide the service, as the processor under our Data Processing Agreement and the Privacy Policy. On cancellation, data stays exportable for 30 days and is then permanently deleted.
6. Intellectual property
The software, brand and content are owned by Kedaya Tech LLP and licensed to you, non-exclusively and non-transferably, for the subscription term. You retain all rights to your tenant data. Feedback you give us may be used without obligation.
7. Warranties, disclaimers and liability
The service is provided "as is" and "as available", without warranties except those that cannot be excluded by law. We target 99.5% monthly uptime (excluding announced maintenance) as a goal, not a guarantee. To the maximum extent permitted by law our aggregate liability for any claim is capped at the fees you paid in the 3 months before the claim, and we are not liable for indirect or consequential loss, including lost business from missed follow-ups or third-party outages. We are not a party to transactions between you and your customers. Nothing limits liability that cannot be limited by law.
8. Indemnity
You will indemnify us against third-party claims arising from your unlawful use of the service, your content, or your breach of these Terms or of employee/data-protection laws applicable to your use.
9. Termination
You may cancel any time from Settings → Billing. We may suspend or terminate a workspace that breaches these Terms, after notice where practicable. On termination your right to use the service ends; the sections on intellectual property, data, liability, indemnity and governing law survive.
10. Governing law and disputes
These Terms are governed by the laws of India, with the courts of Rajkot, Gujarat having jurisdiction. This does not deprive a consumer of the mandatory protections of their country of residence where such law applies.
11. General
Force majeure applies; no waiver arises from delay; we may assign these Terms to a successor with notice (you may not without our consent); if any provision is unenforceable the rest remains in effect; and these Terms together with the Privacy Policy, Data Processing Agreement and Refund Policy form the entire agreement.
